Effective July 18, 2008, Freddie Mac voluntarily registered its common stock with the Securities and Exchange Commission (SEC) under Section 12(g) of the Securities Exchange Act of 1934. From that date, securities ownership information and transactions by directors and executive officers have been reported through filings with the SEC.
Prior to SEC registration, Freddie Mac's policy on reporting equity securities ownership and transactions required directors and certain executives to file with Freddie Mac initial reports of beneficial ownership of Freddie Mac equity securities and reports of changes in beneficial ownership. These reports contained information that would have been available in SEC Form 3 ("Initial Statement of Beneficial Ownership"), Form 4 ("Statement of Changes in Beneficial Ownership"), and Form 5 ("Annual Statement of Changes in Beneficial Ownership"), which are the securities ownership and transaction reports filed by directors and executive officers of SEC registrants.
